In these Terms of Service, the following capitalised terms have the meanings set out below:
"Platform" means the Capo Horn Lab website, web application, and all associated services, including the quantitative backtesting engine, research publications, and user dashboard.
"Services" means the quantitative backtesting, strategy analysis, research publication, and related services offered by Capo Horn Lab through the Platform.
"User", "You", "Your" means any individual or legal entity that accesses or uses the Platform in any capacity.
"Strategy Data" means any trading strategy description, entry/exit rules, parameters, indicators, conditions, or related information submitted by a User for backtesting analysis.
"Research Output" means the backtesting reports, analysis, statistical results, and research publications generated by Capo Horn Lab for a User or published on the Platform.
"Agreement" means these Terms of Service, together with any incorporated policies, schedules, or order forms.
By creating an account, accessing the Platform, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a legal entity, you represent that you have the authority to bind that entity.
This Agreement constitutes a legally binding contract between you and Capo Horn Lab B.V. Your use of the Platform is also subject to our Privacy Policy and Cookie Policy, which are incorporated by reference.
Capo Horn Lab provides quantitative backtesting and strategy research services to traders, quantitative analysts, and financial professionals. Our Services include:
The Services are provided on an "as is" and "as available" basis, subject to the disclaimers in Section 9 below.
4.1 To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
4.2 You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
4.3 You must be at least 18 years of age to create an account or use our Services. By registering, you represent and warrant that you meet this age requirement.
4.4 Capo Horn Lab reserves the right to refuse registration, suspend accounts, or limit access to the Platform at its sole discretion, including where we suspect fraudulent activity, violation of these terms, or regulatory compliance concerns.
5.1 Certain Services are subject to fees as set forth in our then-current Pricing page or as agreed in a separate order form. All fees are exclusive of applicable taxes, which shall be paid by the User.
5.2 Payments are due at the time of purchase unless otherwise agreed in writing. We accept payment via credit/debit card, wire transfer, or other methods we may specify.
5.3 All fees are stated in Euros (EUR) unless otherwise indicated. Capo Horn Lab is an EU-based company and all transactions are processed in accordance with EU regulations.
5.4 Refunds are governed by our Refund Policy. Late payments may result in service suspension and accrual of interest at the statutory rate permitted by applicable law.
5.5 We reserve the right to change our fees upon 30 days' notice. Continued use of the Services after a fee change constitutes acceptance of the new pricing.
6.1 Our IP: The Platform, its design, code, algorithms, methodologies, research publications, and any proprietary tools or frameworks developed by Capo Horn Lab are our exclusive intellectual property. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes.
6.2 Your IP: You retain all rights to your Strategy Data. Capo Horn Lab does not claim ownership of your trading strategies or the intellectual property contained therein.
6.3 Research Output: Backtesting reports and analysis generated for you are provided for your internal use. You may not publish, redistribute, or sublicense our Research Output without our prior written consent, except for aggregated, anonymised results that do not identify Capo Horn Lab's proprietary methodology.
6.4 Feedback: Any suggestions, feedback, or improvement ideas you provide may be used by us without compensation or restriction.

Capo Horn Lab recognises that your Strategy Data represents valuable intellectual property and confidential information. We agree to:
These confidentiality obligations survive termination of this Agreement. Nothing in this section prevents us from using aggregated, anonymised data for research or platform improvement purposes, provided such data cannot be reverse-engineered to identify your specific strategies.
9.1 No Investment Advice: Capo Horn Lab is a quantitative backtesting and research firm. We do not provide investment advice, financial advisory services, or recommendations regarding the purchase or sale of any financial instruments. Our Research Output and backtesting reports are for informational and educational purposes only.
9.2 Past Performance: Past performance of any backtested strategy does not guarantee future results. All backtesting results are hypothetical and may not reflect actual trading conditions, including market liquidity, slippage, and execution constraints.
9.3 No Warranty: The Platform and Services are provided "as is" without any warranty, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.4 Limitation of Liability: To the maximum extent permitted by applicable law, Capo Horn Lab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, trading losses, data loss, or business interruption, arising out of or related to your use of the Platform or Services, even if advised of the possibility of such damages. Our total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.
9.5 EU Consumer Rights: Nothing in this section excludes or limits our liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable EU or Member State law.
You agree to indemnify, defend, and hold harmless Capo Horn Lab, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform in violation of this Agreement; (b) your Strategy Data infringing third-party rights; or (c) your violation of applicable law.
11.1 Either party may terminate this Agreement at any time by providing written notice. If you terminate, your access to the Platform will cease and we will delete your data in accordance with our Privacy Policy.
11.2 We may suspend or terminate your access to the Platform immediately without notice if you materially breach this Agreement, violate applicable law, or engage in conduct that we reasonably believe may harm the Platform or other users.
11.3 Upon termination, Sections 6 (Intellectual Property), 8 (Confidentiality), 9 (Disclaimers), 10 (Indemnification), and 12 (Governing Law) shall survive.
12.1 This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.
12.2 Any dispute arising out of or relating to this Agreement shall first be submitted to good-faith negotiations between the parties. If the dispute cannot be resolved within 30 days, it shall be referred to the competent courts of Amsterdam, the Netherlands.
12.3 For consumers resident in the EU, nothing in this section deprives you of the protection afforded by mandatory provisions of the law of your country of residence, and you may also bring proceedings in your local courts. The European Commission's Online Dispute Resolution (ODR) platform is available at https://ec.europa.eu/consumers/odr.
We may modify these Terms of Service from time to time. Material changes will be communicated to registered users via email and/or a prominent notice on the Platform at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the modified terms. If you do not agree with the changes, you may terminate your account before the changes take effect.
